Establishment of foreign representative offices and other forms of registration

A foreign branch is a part of a company that is established and registered outside of Montenegro and operates within the territory of Montenegro.

A foreign branch conducting business through its branch in Montenegro is obliged to conduct its economic activities in accordance with the regulations of Montenegro.

Foreign companies establishing branches in Montenegro are required to submit the following information to the Central Registry of Business Entities (CRPS) within 30 days from the date of establishment of the branch:

The company’s business activity.
The name and form of the foreign company and the name of the branch, if different from the company’s name;
An authenticated copy of the statute of the foreign company and a translation of the statute or founding act into Montenegrin, certified by a court interpreter, if the adoption of the statute is not mandatory in the country where the foreign company is registered;
A copy of the registration certificate of the foreign company or an authenticated document confirming the validity of the company’s registration in its home country;
Names and addresses of persons authorized to represent the company in Montenegro, or the company’s organ or members of that organ, permanent representatives of the company for the operation of the foreign branch, as well as authorizations for these persons to represent the company, individually or collectively;
The latest balance sheet and profit and loss statement or other financial documents prescribed by the law of the country where the company is registered.
Foreign companies that have established branches in Montenegro are required to submit, within 20 days from the date of change, the data specified in paragraph 3 of this article for registration with the CRPS, as well as:

Notice of the liquidation of the company, appointment of liquidators, and information on the opening of bankruptcy proceedings or other proceedings against the company;
Information on the cessation of economic activity of the branch.

The foreign branch must include the following information in all business letters and other business documents:

The name of the competent registration authority;
The registration number in the CRPS;
The name, form, and registered office of the foreign company and the name of the foreign branch, if different from the name of the foreign company;
The registered office of the foreign branch;
A note that the foreign company is in the liquidation process.

Registration with the CRPS is carried out based on a registration application or ex officio.

The registration application mentioned in paragraph 1 of this article shall be submitted on a single form prescribed by the competent state administration authority responsible for finance (hereinafter: the Ministry).
