Management reports

Our team offers a service for preparing management reports and sections of management reports related to risk management.

Large legal entities, medium legal entities, and legal entities issuing securities and other financial instruments traded on organized markets are required to prepare an annual management report and a consolidated management report.

Large legal entities and parent legal entities, large groups which, at the balance sheet date, have more than 500 employees, are required to include in the management report or through a separate non-financial report, information necessary to gain insight into the development, business results, and position of the legal entity with the effects of its activities relating at least to social and personnel matters, environmental protection, respect for human rights, and combating corruption.

The management report includes:

A brief description of the business activities and organizational structure of the legal entity,
A true representation of the development, analysis of the financial position and business results of the legal entity including financial and non-financial indicators appropriate for the type of business activity, as well as information about members of management and supervisory bodies,
Information on investments aimed at environmental protection,
Planned future development,
Information on research and development activities, especially investments in employee education, Information on the repurchase of own shares or stakes,
The existence of business units,
Information on financial instruments used if they are significant for assessing the financial position and performance and for determining assets, liabilities, financial position, and profit or loss,
Information on the objectives and methods of financial risk management of the legal entity,
including a policy of avoiding or reducing loss for each major type of announced transaction for which risk protection is used,
Information on the legal entity’s exposure to price risks, credit risks, and cash flow liquidity risks,
Objectives and policies in financial risk management, risks, and uncertainties in business, together with a policy to protect each significant type of planned transaction for which protection is used.

In the consolidated management report, the following data are provided:

Acquired own shares or stakes, the number and nominal value or, if there is no nominal value, the book value of all shares of the parent legal entity, as well as shares or stakes of dependent legal entities of that parent legal entity or entities acting on their behalf, and for the account of those legal entities,
Basic characteristics of the internal control and risk management system for legal entities included as a whole in the consolidation.
